What a Buyer Pays for a Used Car Dealership

Car lots along the I-30 corridor trade hands often, and Arlington Business Brokers Ltd explains how a buyer sizes one up.

The inventory is only part of the number.

Likely Buyers

  • Larger dealer groupAdds a lot and a customer base to stores it already runs.
  • Experienced operatorKnows the auction and reconditioning side and wants a lot with a proven location.
  • First time buyer with SBA backingWants a steady income and will lean on the seller for training.

Cash flow comes first

Buyers price a dealership on the cash flow left after the owner's pay, not on how many cars sit on the lot. Most small businesses sell for about two to three times that figure.

Dealers often run personal vehicles and family payroll through the company. Those can be added back, but each needs a paper trail.

Inventory is handled separately

Deals often set the business price and then count the cars at closing, valued at cost. Heavy inventory compared with earnings also worries lenders, so right size the lot before you list.

Floor plan debt is paid off from the proceeds, and the lender will want the titles released on schedule.

Where the profit comes from

Buyers split profit by source: retail sales, finance and warranty products, and the service bay. Clean records for each show whether the profit repeats or came from a strong month.

A good online reputation counts too. Buyers look at reviews and inbound calls as proof that customers find you without the owner.

The lot and the license

A busy frontage is the asset, so the lease matters as much as the cars. A short lease or month to month tenancy puts the whole location at risk. Our note on owning the building covers the options.

Dealer licenses do not simply pass to a buyer. See the TxDMV dealer license guide before you set a closing date.
